1. Introduction & Acceptance

These Terms of Service ("Terms") govern your use of the websites, services, and software provided by IDATHA AI (Pty) Ltd ("IDATHA", "we", "us", or "our"), including the website at idatha.co.za and the IDATHA agent harness. By registering an account, selecting a subscription, or participating in the free plan, you agree to be bound by these Terms and our POPIA Privacy Policy.

2. Scope of Service & Non-Advisory Status

IDATHA provides an autonomous software assistant designed to assist users with administrative organisation, document parsing, scheduling, and draft preparation for everyday South African life admin.

Important Disclaimer: IDATHA is an administrative technology tool. IDATHA is not a registered legal practice, a certified financial advisory firm, an accredited medical aid broker, or an authorised tax practitioner. Outputs generated by your agent regarding SARS tax guidance, municipal dispute drafts, or insurance reviews are informational drafts and must be reviewed and verified by the client prior to formal submission.

3. Human-in-the-Loop & Financial Non-Deposit Taking

IDATHA is strictly non-deposit taking and does not hold client funds. While your agent can prepare bill payment instructions, audit invoices, and assemble beneficiary banking coordinates, no monetary release or formal filing is executed autonomously without explicit client biometric confirmation or direct banking portal authentication.

4. Your AI Provider Key — Your Responsibilities

When you use your own AI provider key, you are solely responsible for maintaining your third-party accounts with model providers (OpenAI, DeepSeek, Groq, Google Gemini, OpenRouter or any OpenAI-compatible provider) and paying all direct token fees incurred. You agree not to input API keys that you are not authorised to use.

5. Subscription, Billing & Cancellation

• Prices and billing: Ad-free is R99, Pro is R249, Premium is R499 and Enterprise is R2,499 a month. Subscriptions are billed in advance and exclude 15% South African VAT. You may also pay for a year, which costs 15% less than twelve monthly payments and is charged once, in advance, for the full twelve months.
• Cancellation: You may cancel your subscription at any time from the WhatsApp chat with 30 days notice. Access continues through the end of the period you have already paid for - the end of the month on a monthly subscription, or the end of the year on a yearly one.
• Taxes: Valid South African VAT tax invoices will be issued electronically for each billing cycle.

6. The Free Tier and Advertising

The free plan is offered at no charge and is supported by brief commercial offers from South African businesses, delivered inside your chat. The number of such offers is capped at two per user per day. Offers are clearly identifiable as commercial messages and are separate from your agent's answers.

You may remove advertising entirely by subscribing to the Ad-free plan at R99 per month, or the Pro (R249) plan, which includes advertising removal together with the email, documents and web browsing skills. Plan changes take effect immediately on upgrade and at the end of the billing month on downgrade.

IDATHA does not sell your personal information, your message content, or your AI provider key to advertisers. Advertisers receive aggregate delivery counts only.

7. Intellectual Property & Copyright Notice

All intellectual property rights in and to the IDATHA platform, software code, proprietary South African knowledge graphs, algorithms, brand logos, graphic marks, and documentation are the exclusive property of IDATHA AI (Pty) Ltd:

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the High Court of South Africa (Gauteng or Western Cape Division).
